Mr. Spataro previously served as General Counsel for SafeCentral, Inc., a leading developer of anti-malware software and secure online session technologies, where he oversaw all of the company’s legal issues, including the negotiation of multiple complex licensing and distribution agreements with Fortune 100 companies, such as Microsoft, Google, and McAfee.
Mr. Bissell joins VLP from the San Francisco office of Wilson Sonsini Goodrich & Rosati, where his corporate and securities practice focused on start-up and growth technology companies, as well as their investors and management, across a range of industries. His clients included private companies at all stages of development, venture capital funds, individual investors, and both new and seasoned entrepreneurs.
“The addition of Carl and Whit strengthens our Corporate and Emerging Companies practice, providing VLP with further depth in these areas,” stated Geoff Willard, chair of the firm’s Corporate practice group. “Whit and Carl are great attorneys and their entrepreneurial approach to the practice of law makes them a great fit for VLP. Mr. Spataro brings more than 15 years of corporate experience to VLP. His in-house experience includes serving in various executive capacities, including general counsel, for several privately-held and publicly traded companies. His previous law firm experiences include Covington & Burling (Washington, DC), Cooley (Reston, VA) and Venture Law Group (Menlo Park, CA) where he practiced venture and public company finance, mergers and acquisitions, securities law compliance, and licensing transactions. Mr. Spataro received his J.D. from Stanford Law School, earned his MBA (Executive) from Vanderbilt University, and his B.S. from the United States Naval Academy. Mr. Spataro is based in Pennsylvania and is a member of the California and Pennsylvania bars.

Mr. Bissell has broad transactional and corporate governance experience and has spent the past 13 years managing the negotiation and documentation of a wide variety of financing transactions, from early-stage angel and seed financings, to convertible bridge, venture capital, and mezzanine debt and equity investments, as well as mergers, acquisitions, asset sales, and other exits. He received his J.D. from the UCLA School of Law and his B.A. in Economics from Middlebury College. Mr. Bissell is based in California and is a member of the State Bar of California.
